Position Summary:

Bentley Systems is seeking an SEC & Corporate Paralegal to join the global Legal department reporting to Bentley’s Deputy General Counsel at Company headquarters in Exton, PA.

 

Primary responsibilities will include:

  • Preparing and filing certain SEC '34 Act materials, including Section 16 Forms 3, 4 and 5, Form 144, Form 8-K, Form S-8 Registration Statements; also completing Form ID to obtain EDGAR access codes for any new executives and/or directors.
  • Assisting with notifications to NASDAQ and administration of relationship
  • Assisting with insider trading policy compliance and notifications
  • Assisting with the preparation of D&O questionnaires
  • Assisting in preparing portions of the annual proxy statement
  • Assisting with worldwide entity management
  • Administering Board portal solution and assists in preparation of management presentations for Board collaboration
  • Participating in special projects as needed, including litigation, M&A and financing activities, and other strategic transactions and initiatives

 

Qualifications:

  • Bachelor's degree from four-year college or university
  • 4+ years related experience and/or training working as a corporate paralegal
  • SEC filings
  • Experience with web-based Board portal software
  • Paralegal certification preferred
  • Familiarity with Delaware corporate law and Nasdaq rules plus
