Responsibilities:           

• Provide legal support for the Sales team in South Korea and Japan, Greater China, including PRC, Hong Kong and Taiwan (e.g. review, negotiation and finalization of standard commercial contracts, purchases orders and other user terms and conditions for the purchase of software licenses, subscriptions and related services, etc.)
• Assist Sales team in completing supplier forms requiring the insertion of general company information (e.g., vendor qualification documents, registration forms, and certain RFPs).
• Prepare or review other commercial agreements including but not limited to: Channel Partner Agreement, Subcontractor Agreement, NDA, marketing, leasing and other vendor agreements.
• Coordinate with local legal service providers to prepare annual corporate filings, internal documents of subsidires in the territory, and manage other general corporate secreterial and compliance efforts.
• Assist China Legal Counsel in managing disputes and potential litigation.
• Communicate between the Sales, Operations, HR, Finance teams.
• Draft correspondence and other legal documents under the guidance of China Legal Counsel.
