Associate Counsel

 

Location: Remote or office based, Canada. Must be in Eastern Time Zone.

 

Position Summary:

Are you a legal counsel with commercial and IT services experience? If so, we’re looking for you!

Cohesive, a business unit of Bentley Systems, is seeking an Associate Counsel to join its newly created legal department, reporting directly to Cohesive’s Chief Counsel. Cohesive is a full lifecycle digital integrator delivering transformational outcomes through the built and natural environment. In this role you will work closely with both Cohesive leaders and colleagues and Bentley’s Legal and Compliance team of more than 25 lawyers and support staff at nine global locations. Your primary responsibilities will include commercial negotiations (with a primary focus on North America) and other general legal work. The ideal candidate will have strong academic credentials and relevant in-house or law firm experience.

 

Your Day-to-Day:

  • Manage contract negotiations on commercial transactions and related matters with a primary focus on North America.
  • Act as primary negotiator to review, draft and negotiate IT consulting, services and subcontracting agreements and advise on responding to RFPs.
  • Balance legal and commercial risk against commercial priorities of the company.
  • Act as trusted legal advisor to internal stakeholders with respect to commercial transactions.

 

What You Bring to The Team:

  • Law Degree required.
  • 4 years relevant contract negotiation experience in-house and/or in private practice required.
  • Prior in-house experience is a plus.
  • Fluency in English is required. Working knowledge of French is a plus.
  • Strong written and oral communication skills, ability to communicate legal and commercial risks clearly and succinctly to senior management and stakeholders.
  • Ability to make independent decisions and negotiate to closure, with escalation as needed.
  • The ideal candidate will have experience in the IT/software services industry.
  • Prior experience with government procurement and construction agreements are a plus.
  • Requires sitting or standing at will while performing work on a computer. The role requires communication with managers, peers, and other colleagues of the company in person (on occasion), and by utilizing Microsoft Teams chat, calling and meeting functions.
  • This role does not require travel.
